Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("you" or "User") and LedgerPips ("we", "us", "our", or "the Company"), operated by its parent entity organized under the laws of the State of Delaware, United States. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, subscribing, or otherwise using LedgerPips ("the Service"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy. These Terms apply to all visitors, users, and subscribers.

2. Eligibility and Age Requirement

You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. We do not knowingly provide the Service to anyone under 18, and we reserve the right to terminate accounts of users found to be underage.

3. Description of Service

LedgerPips is a trading journal and performance-analytics platform that allows users to import, track, and analyze their forex trading activity. The Service includes automated trade synchronization from MetaTrader (MT4/MT5) platforms, performance metrics, journaling features, and AI-generated educational insights based on your historical trading data. LedgerPips is a software tool — it is not a broker, not a licensed financial advisor, and does not execute trades or hold user funds.

4. User Accounts

You are responsible for (a) maintaining the confidentiality of your account credentials, (b) providing accurate and current information when creating an account, (c) keeping your information up to date, and (d) all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account. You may not transfer, sell, or share your account with any third party.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose
• Attempt to gain unauthorized access to the Service, its servers, or related systems
• Interfere with, disrupt, or overload the Service or its infrastructure
• Share, sell, or transfer your account credentials to third parties
• Use automated tools, scrapers, bots, or scripts to access the Service beyond normal use
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Upload malicious code, viruses, or any harmful content
• Misrepresent trading data, falsify records, or use the Service to defraud others
• Resell, sublicense, or commercially redistribute the Service or its output

6. AI-Generated Insights — Not Financial Advice

The Service includes AI-powered features that generate educational insights, pattern observations, and performance analysis based on your historical trading data. These outputs are strictly informational and educational in nature.

You expressly acknowledge and agree that:

• The AI insights do not constitute financial, investment, trading, legal, or tax advice
• LedgerPips is not a registered investment advisor with the SEC, FINRA, or any equivalent regulatory body in any jurisdiction
• AI outputs are generated algorithmically, may be inaccurate, biased, or incomplete, and are not tailored to your individual financial situation, risk tolerance, or objectives
• You should consult a licensed financial advisor before making any trading or investment decisions
• You are solely responsible for all trading decisions, orders, and outcomes — whether or not influenced by insights generated by the Service
• Trading forex and CFDs involves substantial risk of loss, including loss of principal, and is not suitable for every investor
• Past performance and historical patterns are not indicative of future results

7. Subscription, Auto-Renewal and No Refunds

Certain features require a paid subscription. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected at checkout) and automatically renew at the end of each billing period until cancelled. Payment is processed by our third-party payment provider (PayPal). You may pay with a PayPal account or with a debit/credit card on PayPal's secure checkout. By subscribing, you authorize us to charge your payment method for each renewal cycle at the then-current rate.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date. We may change subscription pricing with at least thirty (30) days' notice via email or in-app notification; continued use after the notice period constitutes acceptance of the new pricing.

No Refunds. All payments are final and non-refundable. We do not provide refunds or credits for partial billing periods, unused subscription time, downgrades, plan changes, or cancellations. By subscribing, you acknowledge and agree that you will not be entitled to a refund under any circumstances, including but not limited to dissatisfaction with the Service, inability or failure to use the Service, temporary service interruptions, or changes to features, pricing, or plans. This no-refund policy applies to the fullest extent permitted by applicable law. Chargebacks or reversed payments may result in immediate account termination.

8. Intellectual Property

All intellectual property rights in the Service — including software, code, design, user interface, trademarks, logos, text, graphics, analytics models, and AI systems — are owned by or licensed to LedgerPips and are protected by copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your personal or internal business use in accordance with these Terms.

Your Data. You retain all rights to your trading data and journal entries. By using the Service, you grant us a limited licence to process, store, and analyze your data solely to provide and improve the Service, as described in our Privacy Policy. Aggregated, anonymized data may be used for service improvement and analytics.

9. Third-Party Services

The Service integrates with third-party services including MetaTrader (MT4/MT5) broker platforms, Stripe (payments), Supabase (database and authentication), Vercel (hosting), and Hetzner (infrastructure). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Disclaimers and Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability. We do not warrant that the Service will be error-free, secure, or continuously available, or that defects will be corrected. Trading data, analytics, and AI insights may contain errors or delays; you should independently verify all information before acting on it.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall LedgerPips, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to trading losses, lost profits, lost revenue, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of — or inability to use — the Service, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or in connection with these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD $100).

12. Indemnification

You agree to indemnify, defend, and hold harmless LedgerPips and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; (d) your trading decisions or financial losses; or (e) any content or data you submit to the Service.

13. Account Suspension and Termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have (a) violated these Terms or the Acceptable Use policy, (b) engaged in fraudulent, abusive, or illegal activity, (c) initiated a chargeback or payment reversal, or (d) posed a security or legal risk to the Service or other users. Upon termination, your right to use the Service ceases immediately, and no refunds will be issued. You may terminate your account at any time through your account settings; data deletion will occur as described in our Privacy Policy.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government actions, internet or power outages, third-party service failures (including brokers, payment processors, hosting providers, or cloud infrastructure), cyberattacks, or natural disasters.

15. Governing Law, Jurisdiction and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.

Binding Arbitration. At our election, any dispute may be resolved through binding arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association (AAA), conducted in English, with the seat of arbitration in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You agree that any dispute shall be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate claims of multiple users or preside over any form of a representative or class proceeding.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and LedgerPips regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification at least fifteen (15) days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service and cancel your subscription before the effective date.
